Before forming Sequelis y Asociados, S.C., Mr. Sequelis was a partner of the law firms Gallástegui y Lozano, S.C., Forastieri Abogados, S.C. and Sequelis y López Mestre, S.C., where he developed his practice for more than 10 years. He was also an associate of the law firms González Calvillo, Forastieri, S.C. and Von Wobeser y Sierra, S.C.

Biography

  • He obtained his law degree from the Escuela Libre de Derecho in Mexico City, in 1996, and in 1997 he completed the postgraduate course “The International Legal System of Business” at the Escuela Libre de Derecho and published the book “Analysis of the Cairo Conference on Population and Development”.
  • In 1998 he completed a postgraduate course in “Telecommunications Law” at the Universidad Complutense de Madrid, Spain, and finally, in 2005 he completed a postgraduate course in “Energy Law” at the Universidad Iberoamericana, in Mexico City.
  • In 2014 he obtained a Master’s Degree from the Centro de Estudios de Posgrado en Derecho, with a thesis entitled “On the need to regulate Real Estate Commercial Contracts” (“Sobre la necesidad de regular los Contratos Mercantiles Inmobiliarios”).
  • Mr. Sequelis has been legal advisor to Coöperatieve Rabobank for more than 20 years, where he has participated and implemented loans to the agribusiness sector through structured loans, long-term, short-term on a debt basis and repurchase agreements.
  • Mr. Sequelis has been adjunct professor in several universities.

Relevant transactions

  • Participated in the design, structuring and implementation of the joint venture of Inmesp Desarrolladora (Spanish investment fund) in several residential real estate projects for the social and popular interest sectors.
  • Advised Concesionaria de Carreteras, Autopistas y Libramientos de la República Mexicana (IDEAL) in the securitization of its business for the completion and equipping of several road sections.
  • Structured the financing for the construction and equipping of a shopping center located at Puebla, through a long-term syndicated loan led by BBVA Bancomer.
  • Participated in the design, implementation and purchase of the issuance of the subordinate tranche of stock certificates issued by an accounts receivable fund of a transnational company engaged in the glass industry.
  • Structured the syndicated financing for the construction of an elevated highway in Mexico City, led and structured by BBVA Bancomer and Banobras.
  • Participated in the structuring and implementation of an accounts receivable fund for a company primarily engaged in the import and export business of beef, chicken and pork products.
  • Participated in the structuring of a syndicated loan for US$650,000,000 to a leading company in the meat sector.
  • Structured the financing of a computer manufacturing company in connection with a multi-year services contract in connection with the Enciclomedia Educational Project.
  • Participated in the design and structuring of the BBVA Bancomer factoring fund for telecommunications equipment (handsets).
  • Structured the syndicated financing for US$290,000,000 to a company engaged in the production, processing and commercialization of vegetal oils.
  • Structured financing in two tranches of US$100,000,000 to a multinational company engaged in the production, bottling, and marketing of beverages.
  • Advised a syndicate of banks co-led by Rabobank Nederland and GE Financial in the financing of US$140,000,000 to a company engaged in the manufacture of packaging for consumer goods.
  • Advised Nextel in the public bid (Public Bid 21) and in the concession granted by the Mexican Government to exploit, use and exploit frequency bands of the radioelectric spectrum.
  • Advised the lender on a long-term tranche and revolving tranche loan secured through the borrowing base mechanism of live assets and raw materials to a company in the pork industry.
  • Structured the legal documentation through which Coöperatieve Rabobank implemented the financing mechanism for commodities (sugar, coffee and others) through repurchase agreements
  • Advised MVS in the implementation of data services through the concession over the 2.5 Ghz radioelectric spectrum frequency bands, originally granted for the exploitation of pay TV services via MMDS.
  • Participated in the design and implementation of the structured financing (vendor financing) for the installation and start-up of a wireless telecommunications network for Pegaso (currently, Movistar) and Nextel México.
  • Advised MVS in the implementation of the DirecTV Project in Mexico and Latin America.
  • Advised Metrored in the acquisition of capacity for the provision of telecommunications services from other cable telecommunications service providers.
  • Structured a syndicated revolving and term loan with mortgage and pledge guarantee through the borrowing base mechanism to a leading company in the poultry sector.
  • Advised a syndicate of banks led by a Dutch bank in the financing granted to a company engaged in the manufacture of carbonated beverages and sugar production
  • Acted as legal counsel to CIE in the acquisition of 51% of the capital stock of a consortium of amusement parks called Grupo Mágico.
  • Represented Administradora Mexicana Hipódromo (operator of the racetrack in Mexico City) in a minority acquisition of capital stock by Sinca Inbursa.
  • Advised MVS in the participation made by Hughes in more than 50% of the capital stock of DirecTV's operating company in Mexico.
  • Advised Afore Atlántico Promex in the partial acquisition and subsequent merger with Afore Principal.
  • Participated in the implementation of the joint venture between Metrored and Protel for the integration of their respective telecommunications networks.
